Thorough Bel Air Business Formation Attorneys Assist Entrepreneurs

Established Maryland firm helps clients set new ventures up for success

Turning a new venture into a successful business requires intense effort and concentration. Regardless of what industry you’re in, handling crucial legal tasks correctly is a key aspect of the startup process. Located in Bel Air, Stark and Keenan, P.A. is an established member of the Harford County business community, and we take pride in assisting the people who launch new ventures throughout the greater Baltimore metro area. We offer a full range of business formation services, including assistance with selecting the right type of legal entity, drafting foundation documents, preparing contracts and obtaining necessary licenses. For all of these tasks, we make sure you understand each relevant option completely so you can get your business off to the right start.

Insightful counselors guide startups toward the right legal entity

Numerous options exist under state and federal law for business owners seeking to maximize the potential of their operation while protecting their interests. Our attorneys will discuss the unique features of choices such as:

  • Sole proprietorships and general partnerships — Individuals who wish to run a business on their own or with one or more partners and avoid separate tax liability do not have to create a legal entity. However, personal assets could be exposed if you choose to establish a sole proprietorship or general partnership.
  • Corporations — Stock and closely held corporations allow people to set up a business enterprise without incurring personal liability as long as certain legal standards are met. Many small businesses choose to operate as S corporations for tax purposes so that income generated is taxed to the owners individually rather than to the business. The other option is a C corporation, which allows for more owners but includes taxes on the business in addition to the shareholders’ personal income.
  • LLCs and limited partnerships — If you are looking to shield your assets but want to avoid the taxes and complications associated with corporations, a limited liability company (LLC) or limited partnership might meet your needs.

As a longtime member of the Harford County business community, we understand both the law and the particular market pressures that different kinds of companies face. You can rely on us to lead you toward the solution that best suits your goals.

Experienced lawyers draft and negotiate a full range of business contracts

Creating the proper legal entity is only one aspect of establishing a strong business foundation. Our firm helps clients develop internal and external documents that clearly outline rules, rights and obligations. Even when you’re filled with optimism about the launch of your venture, you should take the time to establish bylaws, operating agreements and other corporate guidelines to set a framework that can be followed if problems arise later. If your business has more than one owner, our firm understands how to write appropriate buy-sell agreements so that partners or fellow shareholders are protected if someone with a stake in the business leaves suddenly. As your company moves forward, we also provide comprehensive guidance on service contracts, commercial leases and other contracts that promote the well-being of your operation and avert unnecessary business litigation.
